Article 1-Application: These general conditions of Eternum apply to ail relations between parties except the specific (purchasing) conditions of the buyer.
Article 2- lnvoicing and payment: The invoices shall be paid in cash at Eternum's registered office, except agreed otherwise. Should the customer fail ta settle within the required period, a 10% interest per year will be lawfully due on the amount outstanding on the invoice as of the due date and without notice of default. A fixed charge of 15% of the amount outstanding on the invoice will also be lawfully due and without notice of default, with a minimum of 75 EUR.
Article 3 - Retention of title: The transfer of ownership of the goods will take place only when ail obligations towards Eternum are fully paid. Nevertheless, the risks ta which the goods may be exposed are the responsibility of the buyer as soon as such goods are placed at his disposai. The buyer shall store all the unpaid goods subject ta retention of title separately from the other goods and clearly identified.
Article 4- Delivery time: The pre confirmed lead times are approximate and any late deliveries give neither the right ta demand compensation nor the right to break the agreement.
Article 5-Guarantee: Any claim relative to problems that were not visible at the time of delivery shall be reported in writing within 48 hours alter they could have been discovered. Alter this time the claim will be considered as null and void. If the complaint is founded Eternum will decide either ta replace goods or to break the sales agreement relative ta the defective goods.
Eternum's responsibility is limited ta misconduct or serious negligence. ln any case it is limited ta the invoice value of goods sold. ln any case, Eternum cannot be held responsible for any indirect damages ta bath buyer and any third parties.
Article.6- Legal authority: The Belgian Law applies. Any dispute will be settled by the judicial district of Namur, ta which belongs the Justice of the Peace Gembloux-Eghe zee (Gembloux section).
